OrderGrid Holdings Inc. Intellectual Property Policy
Version: 1.0 | Effective Date: October 21, 2026 | Last Reviewed: October 21, 2026
1. Introduction and Purpose
This Intellectual Property Policy Statement (this “Policy”) sets out the principles and procedures by which OrderGrid Holdings Inc. (the “Company”) identifies, evaluates, protects, and manages its intellectual property assets, and describes the Company’s position with respect to the intellectual property rights of third parties.
This Policy applies to all intellectual property owned by or licensed to the Company and is published in the interests of transparency, for the information of customers, partners, competitors, and members of the public.
This Policy should be read in conjunction with any schedule of intellectual property assets published by the Company from time to time (the “IP Schedule or Patent Schedule”), which may be updated without notice and without separate announcement.
2. The Company’s Commitment to Intellectual Property Protection
2.1 Investment in Research and Development
The Company invests substantially in research and development (“R&D”) across its business operations. The results of that investment — including innovations, discoveries, creative works, technical know-how, branding, and data — represent significant commercial assets which the Company is committed to protecting comprehensively and defending vigorously.
2.2 Intellectual Property Discovery, Evaluation, and Protection Procedure
The Company operates a formal, multi-stage intellectual property management procedure designed to ensure that all protectable output of the Company’s R&D activities is systematically identified, assessed, and protected. This procedure encompasses the following stages:
(a) Discovery — ongoing monitoring of R&D activities to identify potentially protectable intellectual property as it arises, including through internal review processes, inventor disclosure programmes, and engagement with external advisers where appropriate;
(b) Evaluation — rigorous assessment of each identified asset to determine the most appropriate form or forms of legal protection available, having regard to the nature of the asset, the jurisdictions in which protection is sought, commercial value, and cost-benefit considerations; and
(c) Protection — timely pursuit of all appropriate legal protections, including formal registration where available and advantageous, and the adoption of contractual, technical, and operational measures to maintain and enforce those rights.
2.3 Breadth of Intellectual Property Coverage
The Company’s intellectual property portfolio spans distinct asset classes, which may include, without limitation, the following categories of intellectual property right:
- Patents (granted and pending)
- Utility models
- Registered designs
- Unregistered design rights
- Trade marks
- Service marks
- Copyright works
- Database rights (sui generis)
- Compiled databases and database rights
- Trade secrets and confidential information
- Know-how
- Domain names
- Business names and trading styles
- Geographical indications and appellations of origin
The above list is illustrative. The Company reserves all rights in respect of any intellectual property it holds, whether or not such rights are enumerated in this Policy or in the IP Schedule. The absence of a particular right from the above list or the IP Schedule shall not be construed as a waiver or abandonment of that right.
3. The IP Schedule
3.1 Publication of the IP Schedule
The Company publishes, or may from time to time publish, a schedule of selected intellectual property assets (the “IP Schedule”) on this webpage or through such other means as the Company may determine. The IP Schedule is provided for informational purposes only and is intended to give notice of the breadth of the Company’s intellectual property portfolio.
3.2 Dynamic Nature of the IP Schedule
The IP Schedule is not exhaustive and does not purport to represent a complete record of all intellectual property owned by, licensed to, or otherwise held by the Company. The IP Schedule may be amended, updated, supplemented, or withdrawn by the Company at any time and without prior notice. The Company’s rights in any intellectual property asset subsist independently of whether that asset appears in the IP Schedule.
3.3 No Inference from Omission
The omission of any intellectual property right, asset, or matter from the IP Schedule shall not be taken as any indication that the Company does not own or claim such right, that the right has expired, lapsed, or been abandoned, or that the Company consents to any use of that right by any third party.
4. Third-Party Intellectual Property
4.1 Respect for Third-Party Rights
The Company is committed to respecting the intellectual property rights of third parties. The Company takes reasonable steps to ensure that its activities, products, and services do not infringe upon the validly subsisting intellectual property rights of others. Where the Company uses intellectual property owned by third parties, it does so pursuant to valid licences, assignments, or other lawful authority.
4.2 Third-Party IP Complaints and Notices
Any person who believes that the Company is infringing their intellectual property rights is invited to contact the Company’s external IP team at justin.hill@crowell.com with full particulars of the right alleged to be infringed, the nature of the alleged infringement, and the identity and contact details of the rights holder or their authorised representative. The Company will consider all bona fide notices in good faith and in accordance with applicable law.
5. Expectation of Respect for the Company’s Intellectual Property
5.1 Zero Tolerance for Infringement
The Company expects all third parties — including but not limited to competitors, customers, suppliers, partners, and members of the public — to respect its intellectual property rights. The Company operates a zero-tolerance policy with respect to the unauthorised use, reproduction, copying, distribution, adaptation, reverse engineering, or exploitation of its intellectual property in any form or by any means.
5.2 Enforcement
The Company actively monitors the use of its intellectual property and will take all steps it considers appropriate to enforce its rights, including the commencement of civil proceedings, the submission of take-down notices, referrals to relevant regulatory or enforcement authorities, and the seeking of injunctive relief, damages, and/or an account of profits, as the circumstances may require. The Company reserves all rights and remedies available to it under applicable law.
Any person who believes that intellectual property rights belonging to the Company are being infringed or are soon to be infringed is invited to contact the Company’s external IP team at justin.hill@crowell.com with full particulars of the right alleged to be infringed, the nature of the alleged infringement, and the identity and contact details of the potential infringer.
6. Restrictions on Use — No Authority to Use Proprietary Intellectual Property
6.1 General Prohibition
No person is authorised to use, reproduce, copy, adapt, distribute, publish, transmit, exploit, or otherwise deal in any intellectual property owned by or licensed to the Company without the prior express written consent of the Company.
6.2 No Implied Authorisation
For the avoidance of doubt, no communication, correspondence, conduct, course of dealing, representation, or action — whether oral or written, formal or informal, by or on behalf of the Company or any of its officers, employees, agents, or representatives — shall be construed or relied upon as constituting authority, permission, licence, consent, or approval to use any proprietary intellectual property of the Company, save only where such authority is granted by means of an express written licence agreement duly executed by an authorised signatory of the Company.
6.3 Supersession and No Waiver
Any purported oral permission, informal communication, prior conduct, or course of dealing shall not be capable of conferring any rights in respect of the Company’s intellectual property, and no failure or delay by the Company in enforcing its intellectual property rights shall constitute a waiver of those rights or of the Company’s right to enforce them at any subsequent time.
7. Licensing
7.1 General Position on Licensing
The Company’s intellectual property is central to its commercial operations and competitive position. Accordingly, requests for the licensing of any intellectual property owned by the Company are, as a general rule, declined.
7.2 Case-by-Case Consideration
Notwithstanding the foregoing, the Company may, at its sole and absolute discretion, elect to consider licensing requests on a case-by-case basis where the circumstances are considered by the Company to be appropriate. The mere submission of a licensing enquiry does not create any obligation on the Company to enter into negotiations, to consider the request, to respond within any particular timeframe, or to grant any licence on any terms whatsoever.
7.3 Licensing Process
Any person wishing to submit a formal licensing enquiry should do so in writing to justin.hill@crowell.com, providing full particulars of:
- the intellectual property asset or assets in respect of which a licence is sought;
- the proposed scope, purpose, territory, and duration of the proposed licence;
- the identity and legal status of the applicant; and
- any other information the Company may reasonably require.
The Company does not guarantee that it will respond to any licensing enquiry. Any response provided shall be without prejudice to the Company’s rights and shall not constitute an offer, a binding agreement, or any commitment to grant a licence unless and until a formal written licence agreement has been duly executed by both parties.
7.4 Authorised Licences Only
Any licence granted by the Company shall be effective only if it is set out in a written agreement signed by a duly authorised signatory of the Company. No licence shall arise by implication, estoppel, course of conduct, or otherwise.
8. General Provisions
8.1 Governing Law
This Policy and any matters arising from it shall be governed by and construed in accordance with the laws of England and Wales.
8.2 Amendments
The Company reserves the right to amend, update, or withdraw this Policy at any time and without prior notice. The most current version of this Policy as published on the Company’s website shall supersede all prior versions.
8.3 Severability
If any provision of this Policy is held to be invalid, unlawful, or unenforceable, that provision shall be deemed severed and the remaining provisions shall continue in full force and effect.
8.4 Contact Information
All intellectual property enquiries, including licensing requests, infringement notifications, and general queries relating to this Policy, should be directed to: justin.hill@crowell.com
